Terms of Service

Welcome to Desi Assets ("the Service"), an asset management platform that connects organizations listing real estate and commercial property with buyers. These Terms of Service ("Terms") govern your access to and use of the Service. [Last updated: add date]

By registering for an account, accessing the Service, or using any feature of the platform, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Service.

Organizations using Desi Assets are responsible for ensuring their representatives are authorized to act on the organization’s behalf.

Desi Assets provides organizations with tools to publish and manage asset listings and provides the public with the ability to browse those listings and contact the listing organization. Desi Assets is a platform and venue: we are not a party to any transaction between an organization and a buyer, and we do not verify title, valuations, legal status, or the accuracy of any listing content unless expressly stated otherwise.

You are solely responsible for evaluating any asset, listing, or counterparty before entering into any transaction.

Accounts are not created by self-service sign-up on Desi Assets. To request access for your organization, submit the business registration form with your company details and the plan you are interested in. Our team reviews every request and contacts you to verify the details and arrange subscription payment; no account exists and no password is issued until that verification is complete. Once it is, Desi Assets sets up your organization and its first administrator account. You agree to provide accurate, current, and complete information and to keep it up to date.

• Keep your login credentials confidential. Do not share them.
• You are responsible for activity that occurs under your account. Notify us immediately of any unauthorized use.

• An organization’s first administrator is issued a temporary password and must replace it the first time they sign in. The organization and its later members are managed from the dashboard by your organization’s administrators.

The platform defines distinct roles with different permissions, enforced server-side:

• Site visitors may browse the public marketplace without an account.
• Tenant Users belong to an organization and can view its dashboard and edit the assets assigned to them.
• Tenant Admins manage their organization’s members, listings, and subscription.
• Platform administrators operate Desi Assets itself — creating organizations and providing support.

You may only use the features your role permits, and only for the organization(s) you are authorized to access.

You retain ownership of the content you post. By publishing a listing, you grant Desi Assets a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content in connection with operating the Service.

You are responsible for the content you publish and represent that:

• You own or have the right to publish the content;
• The content is accurate and not misleading as of the date of publication;
• It does not infringe any third party’s intellectual property, privacy, or other rights; and
• It complies with applicable law — including, without limitation, real estate and advertising regulations.

Listings are public: by publishing, you understand that your listing content and the agent contact details on it will be visible to anyone browsing the Service.

Media uploads are limited per asset to [10] images (JPG/JPEG/PNG, up to [10] MB each) and [5] videos (MP4, up to [50] MB each). [Confirm current limits.]

You agree not to use the Service to:

• Post false, misleading, fraudulent, or unlawful listings or content;
• Post content that violates any third party’s rights, including privacy, publicity, or intellectual property rights;
• Attempt to access another organization’s or user’s data;
• Probe, scan, or test the security of the platform, except as authorized;
• Interfere with or disrupt the Service, its servers, or connected networks;
• Scrape, harvest, or reproduce listings or user data at scale without authorization; or
• Use the Service in violation of any applicable law or regulation.

Buyers may contact listing organizations through the Contact Agent form on each listing. By submitting an enquiry you agree that your contact details and message will be shared with the relevant organization, and that they may contact you in response.

Organizations agree to respond to enquiries responsibly and to handle buyer contact data in accordance with applicable privacy law.

The Service is offered on paid plans with different limits on assets, users, and storage. Current plans and limits are shown on our Pricing page and are subject to change.

• All plans include a free trial period. [Confirm the duration (e.g., 14 days), that the trial is arranged by Desi Assets when the registration request is verified rather than started automatically by the customer, and any payment details required after it ends.]
• Fees are payable as described at registration or in an order form, and are non-refundable except as required by law.
• Your organization’s plan determines limits such as the maximum number of published assets. We may pause creation of new listings when a plan limit is reached.
• We may change plan pricing with reasonable notice to you.

The Service, including its software, design, logos, and content (excluding user listings), is owned by Desi Assets or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as expressly permitted.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT LISTING CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Desi Assets DOES NOT VERIFY LISTINGS, TITLE, VALUATIONS, OR THE IDENTITY OR LEGITIMACY OF ANY USER, AND IS NOT A PARTY TO ANY TRANSACTION BETWEEN USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Desi Assets, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE [12] MONTHS PRECEDING THE CLAIM OR [₹10,000].

Because asset transactions involve substantial value, you acknowledge thatDesi Assets has no liability for losses arising from decisions you make based on listings or other marketplace content. [Confirm the monetary cap.]

You agree to indemnify and hold harmless Desi Assets and its affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms.

We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if we reasonably believe your conduct harms the platform or other users, or as required by law. You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. We will notify you of material changes by updating the date at the top of this page and, where appropriate, by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
